* Qualified in an European jurisdiction
* Minimum 3-7 years work experience in a commercial and international field (in-house or in private practice)
* Fluent spoken and written English language skills. Other European language abilities (German/ French/ Spanish) highly desirable but not essential
* Excellent interpersonal/communication skills
* Excellent organizational, project management and leadership skills
* Extensive knowledge of proposal and bidding practices and principles
* Expertise in supplier and contracts negotiation
* Ability to analyze complex situations, seek advice where necessary and provide clear, concise guidance to others

Description

Act as the first point of contact for legal and contractual matters with a strong focus on procurement; take ownership of projects/processes as they are initiated.

Assist and support the Europe Law Department in a wide range of legal issues throughout Europe.

This position is in charge of assisting and advising the development and negotiation of Third-party Supplier’s agreements and other contractually required commercial instruments, and commercial matters thereof, in support of the European Systems and Software - Project Procurement organization.

Contractual matter guidance and assistance shall be provided to EU organization staff throughout the pursuit and execution phases of the procurement processes.

The position will be responsible for working with sell-side contracts and legal identification, of sale agreement commercial flow down requirements, in order to appropriately flow down commercial requirements of Customer agreements to the project specific Third-party conformed agreement.

Responsibilities
* Provide advice and support on commercial and contractual with a strong focus on procurement issues, including:
* Review, respond to and negotiate contract conditions and frame agreements;
* Review of legal and commercial parts of tender/bid documents;
* Provide advice and guidance to procurement, sales, project management and other internal customers on contractual and commercial issues;
* Provide input to procurement, sales, project management on subcontracting strategies and forms and assist in producing and negotiating meaningful subcontracts on major projects;
* Provide input to management and acquire vital approvals regarding contractual risk areas identified;
* Produce and negotiate subcontracts, purchase agreements, services and similar agreements;
* Provide input to the development of contracts and commercial policies and processes;
* Maintain, implement and follow up on relevant procedures;
* Maintain contracts data bases and archives; and
* Provide input to the development and maintenance of standard contract conditions and model form agreements.
* Work with Europe Law Department, European Systems and Software management, and others to develop and implement global Systems and Software Project Procurement contracting policies, processes and procedures:
* Complete and communicate contract summary documents to project teams that outline commercial and project specific requirements of completed agreements;
* Ensure accurate storage of all contracts and commercial documents within the Project Procurement contracts database;
* Serve as focal point in Europe to Systems and Software Management, project managers, project teams and project procurement staff with respect to contractual matters, dispute resolution, regional or country law and regulations with guidance from EU Law Department, as vital;
* Cultivate, interface and maintain professional and valuable relationship with Systems and Software management, legal (regional and local), sales staff, sales contracting, project management, proposal teams, and project procurement staff;
* Assist European Project Procurement staff with the development of contract negotiation strategy;
* Lead supplier commercial terms negotiations, in order to finalize robust agreements that meet or exceed Emerson’s contractual obligations to its customer(s);
* Work directly with sales-side contracting team, in order to analyze, identify and exercise all customer required flow down contractual and commercial obligations vital for incorporation into Third-party agreements;
* Facilitate and assist European project procurement staff with identification and inclusion of the accurate commercial documentation associated with Requests For Quotation (RFQs)/ Request For Proposal (RFP) engagements;
* Complete and approve Third-party Supplier agreements within approved signature authority;
* Ensure compliance to Emerson Retention Policy related to Procurement related rules, at all times;
* Advise and support on Intellectual Property related issues;
* Provide general advice and support as requested on areas like: legalization/verification of documents, approval forms, bank facilities (letters of credits, bank guarantees);
* Support the law department with the organization of training sessions in different legal fields such as general terms and conditions contract negotiation, export law issues, compliance, anti-corruption etc.;
* Stay ahead of legal, contracts and policy developments and advise on their impact;
* Support the Europe Law Department - Europe in all corporate and commercial matters; and
* Support the Europe Law Department - Europe in strategic projects in various areas.
