CANDIDATUL IDEAL:

REQUIREMENTS:

5 to 7 years experience as a senior/manager lawyer in a multinational firm preferably or significant/relevant work experience
Excellent communication, diplomacy and analytical skills
High level of commitment and responsibility
High level of visibility with senior management & external domestic and foreign clients
Ability to handle more than one project at the same time.



RESPONSABILITATI / BENEFICII:

Avrig35 top leading company in the Real Estate Development Business has two great opportunities in the Legal Group: Senior and Manager Lawyer. These 2 positions report to: Director Legal Department and CFO/CEO of the company.


RESPONSIBILITY

Legal files management
Responsible for handling the corporate affairs/company laws.
Drafts/reviews contracts (mainly joint venture with international funds, shareholders agreement, financing agreements, loan facilities, acquisition agreements, transfer of shares, security agreements, construction and development agreements, construction management agreements, lease agreements for offices/hypermarkets, project sale agreement/forward sales etc.)
Cooperates in drafting the above mentioned contracts with a mix internal team (accounting, technical departments)
Works as part of a legal team of professionals on: real estate regulations (real estate due-diligence, acquisition agreements), litigation (civil/ mainly related to real estate, commercial, bankruptcy, privatizations etc.).
Thorough follow up of the on-going litigations/coordination of all litigations, contracts finalization and all due diligence work
Provides legal advice to executives and operational team
Keeps abreast of new Romanian laws and practice; alert business people of relevant developments.
Trains and updates business people on legal topics and code of business conduct for the legal aspects.
Other duties: power of authority and signature rights, decisions to be approved by Board of Directors, identify and manage legal risks of different projects

Policies and procedures

Works as part of the legal team and ensures/manages a system of legal control for each project, by developing policies and procedures on subjects such as: model contracts and other standardized documentation, filing, archives, powers of attorney, signature rights.
Ensure the proper implementation/application of the company’s policies.
Acquisition and other extraordinary projects: coordinates with external financial and technical counsel and lawyer on: various aspects of acquisitions (due diligence, structuring, legal formalities, etc)
Woks on other important projects that may arise
